Overview:

Reporting to the Firm’s General Counsel, the New York or Houston-based Legal Associate will provide support to the Firm’s corporate advisory business, which provides advisory services to companies on mergers, acquisitions and restructurings and also provides private placement services to institutions and investors.

Responsibilities includes:

  • Negotiating engagement letters and non-disclosure agreements
  • Managing any litigation matters affecting the advisory business, including coordinating with outside counsel on document production and deposition preparation
  • Working with outside counsel in reviewing fairness opinion presentations and drafting fairness opinion letters and related disclosure
  • Attending fairness committee meetings
  • Managing conflict clearance process both within the advisory business and as it relates to the overall firm
  • Working with compliance on regulatory requests and inquiries
  • Preparing prior work/existing relationships disclosure to clients
  • Negotiating any other legal documents related to the advisory business
  • Drafting bankruptcy retention applications and related documentation
  • Partnering with other departments (e.g. Finance, HR, IT, etc.) in the firm to provide legal support, including various vendor agreements
  • Support public company reporting obligations
  • Providing other general legal support to Firm’s businesses (e.g. transaction advice, providing precedents, reviewing presentations etc.)

  Desired Skills and Background:

  • 3+ years’ experience practicing corporate law with a top tier law firm or in house financial services/M&A
  • Experience in public and private company transactions, including mergers and acquisitions and/or restructurings
  • Sound legal judgment and an ability to provide practical solutions to manage the legal risks associated with the business’ initiatives
  • Strong analytical and problem-solving skills with indisputable attention to detail and ability to make and implement decisions
  • Intuitive sense of honesty and highest ethical standards
  • Must be a team player and function well in a team environment. This requires sharing ideas, knowledge and supporting the goals of the team.
