The Agility Legal Analyst will work closely with the Associate General Counsel and Legal Counsel on all legal and regulatory matters related to the Agility Outsourced CIO platform.  The role includes partnering with internal teams including Operations, Compliance, Client Services, and Investments.  This position requires the ability to anticipate needs, think critically, and offer solutions to problems with a high level of professionalism and confidentiality.  This role will be responsible for a broad variety of tasks related to the day to day operation of the legal department.

The position will be located at Agility’s Denver office. This will be a hybrid position working at least 3 days a week in the office with the option for remote work up to 2 days a week.

In-person work and regularly being in the office are requirements of this position.  Agility's policy is to only allow individuals who are fully vaccinated against COVID-19 in Agility's offices. Essential Duties and Responsibilities include the following. Other duties may be assigned to meet business needs:

  • Prepare due diligence template based on review of fund offering documents for presentation to Associate General Counsel (“AGC”) or Legal Counsel.

  • Complete first drafts of template side letters and investment management agreements for client investments for review by AGC or Legal Counsel; send documents to managers and communicate Agility’s pertinent requests in cover e-mail.

  • Prepare first drafts of template client side letters, investment management agreements, and amendments for review by AGC or Legal Counsel; manage all legal aspects of client onboarding.

  • Manage spreadsheet of manager funding and lead weekly investment organizational meeting with multiple Agility departments, including preparation and distribution of notes of the weekly meeting.

  • Draft and distribute summaries of investments to clients’ attorneys, as needed, and respond to questions.

  • Undertake all regulatory and corporate filings relating to proprietary privately-offered fund.

  • Assist AGC and Legal Counsel in developing and maintaining desk top procedures for the Legal department.

  • Organize and maintain manager and client folders and manage all documentation with understanding of terms, including maintaining templates of legal documents, such as side letters and investment management agreements.

  • Liaise with New York legal team on corporate matters.

  • Assist with review of RFPs and marketing material, with responsibility for conveying revisions to Client Services.

  • Assume ownership of various ad-hoc projects and assist AGC, Legal Counsel, and Compliance Director as needed to implement Agility legal and compliance programs.

 

Desired Minimum Skills and Background: 

  • Bachelor’s degree and paralegal certificate preferred

  • 3-7 years of work experience in investment management industry required, with work in the alternative investments management industry preferred

  • Proficiency in Microsoft Office (MS Outlook, Word, Excel and PowerPoint)

  • Experience drafting legal documents preferred

  • Ability to multi-task and manage competing priorities effectively while meeting deadlines

  • Strong organizational skills and exceptional detail–orientation; work product is accurate and completed on a timely basis

  • Ability to work independently as well as within a team; self-starter

  • Strong work ethic and eager to learn in a highly intellectual, fast-paced environment

  • Ability to handle highly confidential information appropriately

  • Outstanding written and verbal communications skills

  • Intuitive sense of honesty and highest ethical standards

 

Annual Salary Range: $70,000 to $90,000

 

Individual will be eligible for an annual discretionary bonus, and participation in firm’s health insurance plans including medical, dental, and vision coverage, and participation in the Firm's 401(k) plan. Individual will also be eligible for paid time off including vacation days, sick days, and parental leave and any additional benefits required by applicable federal, state, or local law.
