The Agility Counsel will work closely with the Associate General Counsel of the Agility Outsourced CIO platform (“Agility”) to provide legal advice with respect to Agility, including legal due diligence of proposed investments, negotiation of legal agreements with clients and investment managers, coordination of multi-departmental process for investments and review of requests for proposals and other marketing material.  The role includes daily collaborative efforts with various Agility departments, such as Operations, Compliance, Client Services and Investments. 

Responsibilities include, but are not limited to:

  • Review and summarize pertinent investment fund documents (PPMs, LPAs, etc.) and consult with Agility’s Associate General Counsel (“AGC”), as needed
  • Prepare and negotiate side letters and investment management agreements (“IMA”) for client investments in various asset classes, such as private capital, hedge funds, real assets, equities and fixed income
  • Prepare client side letters, client IMAs and amendments for review by AGC, and assist AGC in client negotiations
  • Oversight of investment pipeline process
  • Prepare and distribute summaries of investments to clients’ attorneys, as needed, and respond to questions
  • Undertake certain administrative and organizational tasks
  • Analyze and interpret regulatory developments and advise senior management
  • Liaise with New York Legal department on corporate matters
  • Review RFPs and marketing material and provide legal analysis to Compliance Director
  • Review and advise Client Services and portfolio managers on Investment Policy Statements
  • Assume ownership of various ad-hoc projects and assist AGC and Compliance Director as needed to implement Agility legal and compliance programs

Desired Skills and Background:

  • BA and JD degrees required; licensed to practice law in Colorado
  • 5 to 10 years of legal experience in the financial services industry experience required, with work in the alternative investments management industry and knowledge of ERISA preferred
  • Proficiency in Microsoft Office (MS Outlook, Word, Excel and PowerPoint)
  • Ability to multi-task and manage competing priorities effectively while meeting deadlines
  • Strong legal and organizational skills and exceptional detail–orientation; work product is accurate and completed on a timely basis
  • Ability to work independently as well as within a team; self-starter
  • Strong work ethic and eager to learn in a highly intellectual, fast-paced environment
  • Ability to handle highly confidential information appropriately
  • Outstanding written and verbal communications skills
  • Intuitive sense of honesty and highest ethical standards

Annual Salary Range: $150K to $275K

Individual will be eligible for an annual discretionary bonus, and participation in firm’s health insurance plans including medical, dental, and vision coverage, and participation in the Firm's 401k plan. Individual will also be eligible for paid time off including vacation days, sick days, and parental leave and any additional benefits required by applicable federal, state or local law.
